Terms and Conditions for Lidrix AI

Welcome to Lidrix AI (“Lidrix,” “we,” “our,” or “us”). By accessing or using our website at https://lidrix.ai (including https://lidrix.com and https://lidrixai.com) and any related services (collectively, the “Service”), you agree to these Terms of Service (“Terms”). If you do not agree, do not use the Service.

1. Use of the Service
1.1 Eligibility & Children’s Privacy. The Service is intended for individuals 18 years or older. We do not knowingly collect personal data from anyone under 18.
1.2 Account & Security. Provide accurate information, keep it current, use a strong password, and promptly notify us of any breach or unauthorized use. You are responsible for all activity under your account.
1.3 Subscription. An active monthly or yearly paid subscription is required. Fees, billing cycles, and cancellation terms are shown at checkout.

2. Description of the Service
Lidrix is an AI Project Manager for Vibe Coders that converts user ideas into step-by-step plans, technical specifications, and prompts for coding agents.

3. Payments, Billing & Refunds
3.1 Billing Authorization. You authorize us to charge your selected payment method for subscription fees and applicable taxes.
3.2 Automatic Renewal. Subscriptions renew automatically unless cancelled before the end of the current term.
3.3 No Refunds. All payments are non-refundable, except where mandatory consumer-protection laws grant a cooling-off or refund right. Where such rights apply, contact support@lidrix.com within the statutory period.

4. Data & Privacy
4.1 Personal Data. We collect your name, email, and payment information to provide the Service.
4.2 Conversation Data. We store logs of your interactions with Lidrix (“Conversation Data”) to operate, secure, debug, and improve the Service and to develop, train, or fine-tune our models. Personal identifiers are removed and data aggregated before model training.
4.3 Opt-Out Control (Coming Soon). A toggle to stop using future Conversation Data for model training is not yet available; we will notify you when it is live.
4.4 Third-Party Processors & Transfers. Vetted service providers (e.g., payment processors, cloud-infrastructure providers) process data solely to deliver the Service. Data may be processed in the United States or other countries; we use Standard Contractual Clauses or equivalent safeguards for international transfers.

5. User Content Licence
By submitting prompts, code, or other content (“User Content”) you grant Lidrix a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, and create derivative works from that User Content solely to operate, maintain, and improve the Service. You warrant that you have all rights necessary to grant this licence and that your User Content does not infringe any third-party rights.

6. Intellectual Property
All content and software in the Service are owned by Lidrix or its licensors. You receive a limited, non-exclusive, non-transferable licence to use the Service as permitted by these Terms.

7. Acceptable Use
You agree not to (a) violate any law, (b) interfere with or disrupt the Service, (c) reverse-engineer, decompile, or copy any part of the Service, or (d) share your credentials or allow unauthorized access.

8. Disclaimers
AI-Generated Content. Plans, specifications, or other output produced by Lidrix AI are provided “as is” for informational purposes only and may be incomplete or inaccurate. You assume full responsibility for any reliance on such output.
Except as expressly stated, the Service is provided “as is” and “as available,” without warranties of any kind.

9. Limitation of Liability
To the fullest extent permitted by law, Lidrix will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising from or related to your use of the Service.

10. Indemnification
You will indemnify and hold harmless Lidrix and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service or breach of these Terms.

11. Termination & Modifications
We may suspend, modify, or discontinue the Service, or terminate your access, at any time with or without notice for conduct we believe violates these Terms or is harmful. Upon termination, sections relating to payments due, licences, disclaimers, liability, and indemnity survive.

12. Changes to Terms
We may update these Terms from time to time. Material changes will be notified by email or in-service notice. Continued use after the effective date constitutes acceptance of the revised Terms.

13. Governing Law
These Terms are governed by the laws of the United States, without regard to conflict-of-law principles.

14. Miscellaneous
These Terms constitute the entire agreement between you and Lidrix. If any provision is held unenforceable, the remaining provisions remain in effect. Lidrix may assign these Terms; you may not. Failure to enforce any right is not a waiver.
